General Terms of Sale

1. Scope

These Terms of Sale (« Terms ») govern online sales of paid services offered by RydrWay, including:

  • Premium and Premium+ subscriptions (monthly or annual);
  • credit packs (consumable for certain features, e.g. GPX export, AI generation).

They apply to any order placed by a User with a RydrWay account. Access and use of the Service remain governed by the Terms of Use. In case of conflict regarding pricing or purchase-related contractual aspects, these Terms of Sale prevail.

3. Paid products and services

RydrWay offers in particular:

  • Premium subscription: unlocks advanced features (unlimited road trips and stages, extended exports, monthly AI credits per current offer, etc.).
  • Premium+ subscription: extended features vs Premium (higher AI credits, exclusive features per displayed offer).
  • Credit packs: unit credits added to account balance for pay-as-you-go features.

Feature details, quotas, limits and included credits are those displayed on the pricing page and checkout at the time of order. RydrWay may evolve offer contents, subject to rights already acquired for paid periods.

4. Prices and taxes

Prices are shown in euros (EUR), generally including VAT for consumers in France unless otherwise stated at payment.

The applicable price is that displayed when validating the order, before payment. RydrWay may change future prices; changes do not apply to already paid periods.

Promotional codes may be offered occasionally under specific conditions displayed at use.

5. Order and contract formation

Offer presentation on the website or app is an invitation to contract, not a binding offer.

The order is validated when the User:

  • selects an offer;
  • accepts these Terms of Sale (and where applicable expressly waives withdrawal for immediate performance);
  • successfully completes payment via Stripe.

The sales contract is formed upon receipt of payment confirmation by RydrWay (Stripe notification / confirmation email where applicable).

6. Activation and performance

Unless otherwise stated, paid services are activated immediately after payment validation:

  • subscription: account upgrade for subscribed period;
  • credits: balance credited to user account.

If a technical incident prevents activation, contact support@rydrway.com with account ID and Stripe transaction reference if available.

7. Subscriptions

7.1 Term and renewal

Subscriptions run for a monthly or annual term per selected offer. Unless cancelled beforehand, they renew automatically for the same term at the price in force on renewal date.

7.2 Cancellation

The User may cancel at any time from account settings (subscription section) or by writing to support@rydrway.com.

  • Cancellation takes effect at the end of the current paid period.
  • No pro-rata refund for started periods, except mandatory legal provisions or billing error attributable to RydrWay.
  • Deleting the account or app does not automatically cancel the subscription.

7.3 Plan changes

Switching plans follows procedures displayed in the interface (upgrade/downgrade) and applicable Stripe rules.

8. Credits

Purchased credits are added to the User’s account. They are:

  • personal and non-transferable;
  • consumed when using relevant features;
  • generally non-refundable once credited, including if unused, except mandatory legal rights.

Subscription-included credits follow offer conditions (periodicity, possible expiry) displayed at subscription.

9. Payment

Payments are processed by Stripe. RydrWay does not store full card numbers.

Accepted payment methods are those offered by Stripe at checkout. The User warrants authorization to use the chosen payment method.

Invoice or payment confirmation may be sent by email or via Stripe depending on account settings.

10. Payment failure

In case of failed payment (renewal or charge attempt), RydrWay may:

  • retry via Stripe;
  • temporarily suspend paid features until resolved;
  • cancel subscription after repeated failures, subject to User rights.

11. Right of withdrawal (consumers)

Where the User is a consumer under applicable law and the contract is distance-based, they generally have 14 days to withdraw without giving reasons.

Exception — immediate performance: for digital content/services activated immediately, the User may be asked before payment to:

  • request immediate performance expressly;
  • acknowledge loss of withdrawal right once performance begins.

To exercise withdrawal where applicable: support@rydrway.com with account ID and order reference. Refund via same payment method within legal timeframes.

12. Refunds

Subject to mandatory legal rights:

  • consumed or credited credits are not refunded;
  • started subscription periods are not refunded pro-rata;
  • for proven billing errors or duplicate charges attributable to RydrWay, contact support@rydrway.com within a reasonable time (30 days recommended).

RydrWay uses reasonable efforts to respond, without contractual SLA unless expressly agreed in writing.

14. Liability

RydrWay is subject to an obligation of means for paid services.

Within legal limits, RydrWay is not liable for indirect damages. Any liability may be capped at amounts paid for the relevant service in the 12 months preceding the event, except gross negligence, wilful misconduct or bodily injury.

Terms of Use liability limitations also apply to Service use, subject to mandatory provisions.

15. Force majeure

Neither party is liable for failure due to force majeure under French law (major network outage, disaster, external strike, administrative decision, etc.).

16. Evidence

RydrWay and Stripe computer records (logs, timestamps, payment confirmations, subscription history) are admissible proof of transactions unless proven otherwise.

17. Changes to these Terms

RydrWay may amend these Terms. Users will be notified by email or in-app at least 15 days before effective date, except legal or urgent changes.

Terms applicable to an order are those accepted at purchase.

18. Mediation, disputes and governing law

These Terms are governed by French law.

Consumer Users may use a consumer mediator free of charge under the French Consumer Code. Mediator contact: [To be completed].

Failing amicable resolution, Paris courts have jurisdiction, subject to mandatory consumer protection rules.

19. Final provisions

  • If any clause is invalid, others remain in effect.
  • The French version of these Terms shall prevail.
